The fees paid to the Board of Directors are determined by the Annual General Meeting based on a proposal made by the Shareholders’ Nomination Committee. The remuneration and other benefits of the Managing Director and Deputy Managing Director are determined by the Board of Directors. The remuneration and other benefits of members of the Executive Management Team are determined by the Board of Directors, based on a proposal made by the Managing Director.
Members of the Board of Directors, the Managing Director, the Deputy Managing Director and other personnel may not own shares in the company.
The company has a performance-related incentive scheme for management and staff, the terms and implementation of which are determined by the Board of Directors. The scheme does not apply to members of the Board of Directors.
